Refer & Earn Program — Terms & Conditions

• Darb — Darb Pay for Information Technology, the SAMA-licensed operator of the Darb expense-management and corporate-card platform.
• Referrer ("you") — the existing Darb customer in good standing, or eligible individual, who refers a business under the Program. Where you take part through a Darb business account, you are responsible for the acts and omissions of any person acting under that account or your Referral Code.
• Referred Company — the Saudi business you introduce that opens a Darb account.
• Referral Code / Referral Link — the unique code or link issued to you in the Darb client portal, or the attribution Darb records when you refer a business by email to referrals@darbpay.com.
• Activation — the point at which the Referred Company completes identity verification (KYC), is approved and onboarded, and activates at least one Darb card.
• Assessment Period — the three (3) consecutive months beginning on the date of Activation, over which Darb measures the Referred Company's Qualifying Spend to determine the Reward.
• Qualifying Spend — settled purchase and payment transactions made on Darb cards by the Referred Company, net of refunds, reversals, disputes and chargebacks. Wallet top-ups and funds loaded, and any fees charged by Darb, do not count as Qualifying Spend. (This mirrors how Darb measures TPV: spend only, excluding top-ups.)
• Qualifying Referral — a referral that meets all the conditions in Section 3.
• Reward — the referral reward payable to you under Sections 5 to 7, in the form of a gift card or other consideration Darb provides under the Program.
• Partner Program — Darb's separate program for licensed accounting and advisory firms (the Darb Partner Program), governed by its own terms.
• Notice — any communication relating to these Terms provided to you by email, SMS, your Darb account, or by posting on darbpay.com.

To take part in the Program you must: (a) be an existing Darb customer in good standing, or an individual referring through the channels in Section 3; (b) be a natural person at least 18 years of age; and (c) be resident in the Kingdom of Saudi Arabia.

Accounting and advisory firms

Licensed accounting and advisory firms — and their partners and staff acting in a professional capacity — are not eligible for this Program for client referrals. They are served by the Partner Program. A referral that properly belongs under the Partner Program will be handled there, not here.

Darb provides you with a unique Referral Code or Referral Link to share with prospective customers. The Referred Company must be a Saudi business engaging in commercial activity for the sale of goods and/or services. A Reward is awarded only for a Qualifying Referral, which must meet all of the following conditions:

(a) The Referred Company is not registered, and was not previously registered, with Darb under any email address, alias or related entity;

(b) The Referred Company is approved to use Darb's services under Darb's KYC and approval policies in force at the time of its application;

(c) The Referred Company completes registration using your Referral Code or Link. If it registers by any other link or method, the registration is not a Qualifying Referral. Where you refer by email to referrals@darbpay.com, the attribution must be recorded by Darb before the Referred Company registers; and

(d) The Referred Company reaches at least SAR 15,000 of Qualifying Spend during the Assessment Period (Section 6). The size of the Reward is then set by the band into which the Referred Company's Assessment-Period spend falls, under Section 5.

How you may share

You may share your Referral Code or Link only directly with your personal acquaintances, and you represent that you have a personal relationship with each business you refer, or otherwise have the necessary consents to submit their details to the Program. You, and anyone acting under your code, may not use any paid promotion to advertise the Program — including paid search, online advertising, affiliate networks, paid email campaigns or similar methods — and may not use spam or any deceptive or misleading practice. You may not use a Referral Code or Link to open a Darb account for yourself, a business you own or control, or any business in your group or under common control with you.

A Referred Company is attributed to the first valid referral it is associated with (first Referral Code, Link or recorded email referral), fixed at the Referred Company's registration and locked at sign-up. Each Referred Company can be attributed to one Referrer and one program only: a company attributed under the Partner Program cannot also generate a Reward under this Program, and a company attributed under this Program cannot also generate a reward under the Partner Program.

Activation alone does not earn a Reward. A Reward is earned only where the Referred Company reaches at least SAR 15,000 of Qualifying Spend during the Assessment Period (its first three months after Activation). The size of the Reward is fixed by the Referred Company's total Qualifying Spend over the Assessment Period:

• The Reward is assessed once, at the end of the Assessment Period, on settled Qualifying Spend (net of refunds, reversals, disputes and chargebacks), and paid once. There are no further or recurring payments for the same Referred Company, and Qualifying Spend after the Assessment Period does not change the Reward.
• The maximum Reward per Referred Company is SAR 3,000.
• The Reward bands that apply to a referral are those displayed on the Program page at the time you send your Referral Code or Link (or, for an email referral, at the time Darb records the referral).
• The Reward reflects the Referred Company's spend — that is, its value to Darb — not the number of businesses you refer.

The Assessment Period is the three (3) months beginning on the date of Activation. Darb assesses the Referred Company's Qualifying Spend once, after the Assessment Period ends and the relevant transactions have settled. If the Referred Company has not reached at least SAR 15,000 of Qualifying Spend by the end of the Assessment Period, the referral does not qualify and no Reward is payable. Qualifying Spend after the Assessment Period does not change the Reward.

• Rewards are paid as gift card(s) (Amazon.sa or equivalent) sent to your registered email address. Darb may instead provide an equivalent-value Reward by another method (such as bank transfer or Darb wallet credit) at its discretion.
• The Reward is paid within fourteen (14) business days after the end of the Assessment Period, once the underlying transactions have settled. Please allow reasonable time for delivery.
• Rewards are stated in Saudi Riyals; gift cards are issued in the equivalent value. Rewards are personal to you and non-transferable. A Reward that is unclaimed, or that expires under its issuer's terms, will not be re-issued.

• Darb may, in its sole discretion, withhold, deny, suspend or reverse any Reward, and remove you from the Program or suspend your Darb account, if it considers a referral or Reward to be fraudulent, abusive, suspicious, unethical, or otherwise inconsistent with these Terms, Darb's Terms and Conditions or any applicable law. This includes fake or non-genuine referrals; self-, group- or circular referrals; collusion; use of paid promotion contrary to Section 3; and spend that has been artificially generated, structured or inflated to reach a higher Reward band.
• If Qualifying Spend counted in the Assessment Period is later reduced (for example by refunds, reversals or chargebacks) so that the Referred Company falls into a lower band, Darb may recover the difference; if it falls below SAR 15,000, Darb may recover the whole Reward.
• This is a customer-advocacy program for occasional, personal referrals. If your referral activity reaches a volume or takes a form consistent with a professional referral channel, Darb may cap your Rewards or move you to the Partner Program.

Darb owns all intellectual property in the Referral Code, the Referral Link, and the Darb platform, data, brand, logos, trade marks and related technology (the "Darb Property"). Darb grants you a limited, non-exclusive, revocable and non-transferable licence to use the Darb Property solely as needed to take part in the Program in accordance with these Terms. You must not alter Darb's branding, or use it in any way that is misleading or that suggests an endorsement or a relationship beyond participation in the Program.

You are responsible for any taxes or charges that may apply to you as a result of receiving a Reward. Darb is not obliged to report or withhold on your behalf, but may do so where required by law.

Personal data collected through the Program is processed in accordance with Darb's privacy notice and applicable Saudi data-protection law (PDPL). When you refer a business by email, you confirm you have the relevant person's consent to share their details with Darb for this purpose.

Darb's payment services, and the cards issued to the Referred Company, are provided under Darb's SAMA licence. Taking part in the Program does not make you a provider of any financial service and does not require you to hold any licence. Darb supports its customers' compliance with ZATCA e-invoicing requirements.

Your eligibility, and the eligibility of any referral, is determined by Darb in its sole discretion. Darb may suspend, change or end the Program, or change these Terms, at any time and for any reason, on Notice to you or by deactivating your Referral Code or Link. Changes apply from their effective date; referrals already made before a change are honoured at the Reward amounts described in Section 5, except where a change is required by law or to prevent abuse.

The Program does not create any employment, agency, partnership or joint-venture relationship between you and Darb. You have no authority to act for, or make representations on behalf of, Darb.

These Terms, together with Darb's Terms and Conditions, are the entire understanding between you and Darb regarding the Program, and supersede any prior representation or understanding on the subject. No variation is binding unless made by Darb in accordance with these Terms or agreed in writing.

These Terms are governed by the laws of the Kingdom of Saudi Arabia. The courts of the city of Riyadh have exclusive jurisdiction over any dispute arising from them.
